B) THE UNDERTAKING OF ENABLING WORKS BY GAMUDA DC INFRASTRUCTURE SDN BHD FOR THE BUYER'S DATA CENTRES DEVELOPMENT, INCLUDING EARTHWORK ON THE SAID LAND AND EXTERNAL INFRASTRUCTURE WORK UNDER FIXED LUMP SUM BASIS VALUED AT RM1,008,883,000 ("ENABLING WORKS") (COLLECTIVELY "TRANSACTION")
As announced previously, Gamuda Berhad [Co. Regn. No. 197601003632 (29579T)] ("Company or Gamuda") via its wholly owned indirect subsidiary, Gamuda DC Infrastructure Sdn Bhd [Co. Regn. No. 202401048186 (1594031-D)] had entered into a Sale and Purchase Agreement with West Synergy Sdn Bhd [Co. Regn. No. 199301028291 (283029-M)] ("Vendor") on 30 December 2024, for the acquisition of land plots in Port Dickson, Negeri Sembilan for development in relation to data center infrastructure.
Following the above, the Board wishes to announce that Gamuda DC Infrastructure Sdn Bhd ("Gamuda DCI" or "Seller") had further on 2 May 2025 entered into a Sale and Purchase Agreement ("SPA") & External Infrastructure Contract ("EIC") with Pearl Computing Malaysia Sdn Bhd (Co. Regn. No. 202201042907 (1488604-M)) ("Buyer") in relation to:
A) the disposal of Lands (as defined below) measuring approximately 389 acres for a total cash consideration of RM455,229,956 ("Disposal Price") ("Land Disposal"), and
B) the undertaking of enabling works by Gamuda DCI for the Buyer's data centres development, including earthwork on the said land and external infrastructure work under fixed lump sum contracts valued at RM1,008,883,000 ("Enabling Works") (collectively "Transaction").
