Description
GAMUDA BERHAD ("GAMUDA" OR "COMPANY")
DISPOSAL OF ALL THE SECURITIES IN:
(I) KESAS SDN BHD ("KESAS");
(II) SISTEM PENYURAIAN TRAFIK KL BARAT SDN BHD ("SPRINT");
(III) LINGKARAN TRANS KOTA SDN BHD ("LITRAK"); AND
(IV) SYARIKAT MENGURUS AIR BANJIR & TEROWONG SDN BHD ("SMART")
TO AMANAT LEBUHRAYA RAKYAT BERHAD ("ALR").
(COLLECTIVELY REFERRED TO AS THE "DISPOSALS")
Reference is made to the Company’s announcement dated 4 April 2022, 18 April 2022, 8 June 2022, 9 June 2022, 10 June 2022, 12 July 2022, 5 August 2022 and 3 October 2022 in relation to the Disposals (“Announcements”). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcements.
On behalf of the Board, HLIB wishes to announce that each of the SSPAs has become unconditional on 13 October 2022 following the fulfilment of the conditions precedent stipulated in each of the SSPAs in respect of each of the Disposals. Each of the Disposals is completed on 13 October 2022 in accordance with the terms and conditions of each of the SSPAs.
On the Completion Date, pursuant to the terms and conditions of each of the SSPAs, the Concession Holding Companies of KESAS, SPRINT and LITRAK have received a total sum of RM4,260 million. Please refer to the attachment for further details on the computation of the total sum.
In relation to the Disposal of SMART, ALR has paid the Equity Value equivalent to RM1.00 to SMART Holdings on the Completion Date. ALR has also paid in full, the Redemption Amount of RM316 million to the bank account provided by the facility/security agent under the terms of the Sukuk Facilities on the Completion Date.
Pursuant to the completion of the Disposals:
(i) Kesas has ceased to be a subsidiary of Kesas Holdings and an indirect subsidiary of Gamuda;
(ii) SPRINT has ceased to be a subsidiary of SPRINT Holdings and an indirect associate company of Gamuda;
(iii) LITRAK has ceased to be a subsidiary of LITRAK Holdings and an indirect associate company of Gamuda; and
(iv) SMART has ceased to be a subsidiary of SMART Holdings, a 50% joint venture company of Gamuda.
