We refer to the previous announcements in relation to the Proposed Rights Issue of Warrants. Unless otherwise defined, the definitions set out in the announcement dated 28 September 2015 shall apply herein.

On behalf of the Board of Directors of Gamuda, RHB Investment Bank wishes to announce that Bursa Securities had vide its letter dated 28 October 2015, resolved to approve the following:-

1. Admission of up to 412,445,675 Warrants to Official List of Bursa Securities and the listing of and quotation for up to 412,445,675 Warrants to be issued pursuant to the Proposed Rights Issue of Warrants; and
2. Listing of and quotation for up to 412,445,675 new Gamuda Shares to be issued arising from the exercise of the Warrants.

The approval granted by Bursa Securities for the Proposed Rights Issue of Warrants is subject to the following conditions:-

1. Gamuda and RHB Investment Bank must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Rights Issue of Warrants;
2. Gamuda and RHB Investment Bank to inform Bursa Securities upon the completion of the Proposed Rights Issue of Warrants;
3. Gamuda to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue of Warrants is completed;
4. To furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders of Gamuda in a general meeting approving the Proposed Rights Issue of Warrants; and
5. To incorporate Bursa Securities’ comments in respect of the draft circular to shareholders on the Proposed Rights Issue of Warrants.
