Bursa Announcements News

We refer to the Company’s announcements dated 14 December 2018 and 15 February 2019 in relation to the Proposals (“Announcements”). Unless otherwise defined, the abbreviations and definitions used in the Announcements shall apply herein.

On behalf of the Board of Directors of Gamuda, RHBIB is pleased to announce that Bursa Securities had, vide its letter dated 27 February 2019, resolved to approve the following:

(a) admission to the Official List and listing of and quotation for up to 754,712,391 Warrants F pursuant to the Proposed Rights Issue of Warrants; and

(b) listing of and quotation for up to 754,712,391 new ordinary shares to be issued arising from  the exercise of the Warrants F.

The approval by Bursa Securities is subject to the following conditions:

1. Gamuda and RHBIB must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Rights Issue of Warrants;
2. Gamuda and RHBIB to inform Bursa Securities upon completion of the Proposed Rights Issue of Warrants;
3. Gamuda and RHBIB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue of Warrants is completed; and
4. Gamuda to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants F as at the end of each quarter together with a detail computation of listing fees payable.
