Unless otherwise stated, all definitions and terms used in this announcement shall have the same meanings as defined in our previous announcements.
References are made to the announcements made by Gamuda Berhad (Company No. 29579-T) (“Gamuda” or “Company”) on 3 August 2018, 9 August 2018, 21 August 2018, 24 August 2018, 27 August 2018, 14 September 2018, 28 September 2018, 17 December 2018, 27 February 2019, 29 March 2019, 15 April 2019 and 24 April 2019 respectively in relation to the Consolidation of Selangor Water Industry.
Gamuda wishes to inform that Gamuda Water has on 24 May 2019 executed the following agreements with Air Selangor: -
1. The Termination and Settlement Agreement; and
2. The new SSP3 OMA [now known as Bulk Water Supply Agreement (Sungai Selangor Water Treatment Works Phase 3)];
(collectively “Agreements”).
Save and except for the following typographical error in the letter of offer dated 21 August 2018 pertaining to the final operational period of the new SSP3 OMA, all salient terms of the Agreements remain the same as per our earlier announcement dated 21 August 2018: -

With the execution of the Agreements, Gamuda Water shall continue as the Operation and Maintenance Operator for Sungai Selangor Water Treatment Plant Phase 3.

The share purchase agreement dated 28 September 2018 entered into between Sungai Pengeluar Air Selangor Holdings Berhad (Company No. 482926-X) (“Splash Holdings”), our 40% owned company and Air Selangor, was completed on 24 April 2019.  Splash Holdings, has on 24 April 2019 received the Upfront Sum of RM1.90 billion from Air Selangor and as such, the Offer has been completed on even date, Hence, Gamuda has disposed of its effective 40% equity stake in Syarikat Pengeluar Air Sungai Selangor Sdn Bhd (Company No. 482346-K) held via Splash Holdings on 24 April 2019.
